# Terms of service.

Written to be read. Where a clause limits what you can expect from us, it says so in the same plain words as the clauses that favour us.

**Written to be read.** Where a clause limits what you can expect from us, it is in the same plain words as the clauses that favour us. If anything below is unclear, ask before you order rather than after — we would rather explain it than argue about it later.

## 1. Who this is between

These terms are the agreement between **gpuserver.io** ("we", "us") and the person or organisation renting a server from us ("you"). They take effect when you place an order and continue while any term you have paid for is running.

They apply together with the [acceptable use policy](https://gpuserver.io/legal/aup), the [service level agreement](https://gpuserver.io/legal/sla) and the [privacy policy](https://gpuserver.io/legal/privacy). Where one of those is more specific, the more specific one governs.

## 2. What we provide

A dedicated physical server, of the configuration shown on your order, in the data centre you chose, for the term you paid for. Specifically:

- The whole machine, with root or administrator access. No hypervisor, no other tenant, and no partitioning of the GPUs — no MIG, no vGPU.
- The network port stated for that chassis, unmetered in both directions, with one IPv4 address and a routed IPv6 /64.
- Out-of-band access (IPMI) on a separate management network.
- Reinstallation to any image we offer, as often as you want, at no charge.
- Replacement of failed hardware from on-site spares, to a four-hour target.

We do not provide backups of your data, managed services, application support, or a fabric between separate nodes. What we do not offer is listed on the [network page](https://gpuserver.io/network#limits) and the [hardware policy](https://gpuserver.io/hardware#never); please read those before ordering rather than discover them afterwards.

**If we cannot deliver the configuration you ordered**, we will tell you and refund the full amount. We will not substitute a different card without your agreement.

## 3. Your account

An order requires an email address, a password you choose, and a billing address. We do not verify any of it, and we do not ask for identity documents at any level of spend — the [privacy policy](https://gpuserver.io/legal/privacy) sets out what we hold and why.

You are responsible for the credentials you set, including the root password for the machine. **We do not keep your root password in a form we can read and we cannot reset it for you.** If you lose it, recovery is through IPMI, which you have.

Anything done through your credentials is treated as done by you. Tell us immediately if you believe they have been compromised.

## 4. Price and payment

Prices are in US dollars and include everything needed to run the machine: no setup fee, no reinstallation fee, no bandwidth charge, no support plan. Optional extras are priced per month and shown before you order.

Payment is in cryptocurrency only. We do not accept cards, bank transfers or any instrument that would identify you — a deliberate design choice, not an oversight.

- The amount in cryptocurrency is fixed at the exchange rate at the moment the invoice is issued, and held for the payment window shown on it.
- Payment must be made in one transaction, in the coin and on the network shown. A payment made on a different network cannot be recovered by us.
- An overpayment is refunded or credited to the term, at your choice. An underpayment leaves the invoice open until the difference arrives.
- Taxes due in your own jurisdiction are yours to account for. We do not calculate or collect them.

The service begins when the payment reaches one confirmation on its chain.

## 5. Term and cancellation

**Nothing renews automatically.** There is no card on file and no direct debit. A term continues only because you have paid for the next one.

- A monthly term ends at the end of the month you paid for. No notice period, no cancellation fee.
- Three- and twelve-month terms are paid up front, run to their end date, and are not refunded pro rata if you stop early. That is the trade for the discount, and it is stated before you pay.
- We remind you before a term ends, on the contact handle you gave us.

**What happens at the end of a term is not reversible.** The public port is cut when the term ends, the disks are cryptographically erased and then overwritten within the hour, and any snapshots are deleted in the same pass. There is no grace period during which your data still exists. Copy what you need off the machine before the last day.

## 6. Refunds

- **We could not deliver:** full refund, in the coin you paid with, to an address you give us.
- **The hardware does not match what was listed:** tell us within seven days of delivery and we swap the node or refund the term in full. The [verification steps](https://gpuserver.io/docs#verify) take two minutes; do them on day one.
- **You changed your mind:** a monthly term simply stops at the end of the month; a longer term is not refunded pro rata.
- **We terminated you for breach:** no refund.

Refunds are made in the cryptocurrency you paid with, at the amount of coin you sent — not at the value it has since gained or lost.

## 7. Your responsibilities

You have root. The security, configuration and lawful use of the machine are therefore yours. In particular you agree to:

- Comply with the [acceptable use policy](https://gpuserver.io/legal/aup), which is short and is enforced.
- Keep the machine from harming others. A compromised server attacking third parties is your responsibility whether or not you intended it.
- Respond to abuse reports we forward to you, within the deadline stated in them.
- Keep your own backups. We hold no copy of your data unless you bought snapshots, and snapshots do not outlive the machine.
- Not resell the machine in a way that places obligations on us towards your own customers.

## 8. Our access to your machine

We do not hold a login inside your operating system and we do not create one. We do not inspect your disks and we keep no record of what runs on the machine.

What we do have is physical access to the hardware and IPMI, which can power-cycle the machine and mount media. We use them only to replace failed hardware, to act on a suspension under clause 9, to comply with a valid legal order, or to do something you asked us to do.

**This clause is worth reading twice when you decide what to encrypt.** A key we hold is a key we can be compelled to hand over, so we hold none. The corollary is that the hardware itself can be seized, and encryption at rest that you configure is the only thing that protects your data in that event.

## 9. Suspension and termination

We may suspend a machine without notice where it is actively harming others — outbound denial of service, mass scanning, an intrusion in progress. In those cases we act first and contact you immediately afterwards.

For everything else we contact you first, describe the problem and give you a deadline, normally 24 hours. A machine that has been compromised and is being cleaned up is treated differently from one being used deliberately.

We may terminate a term without refund for repeated or deliberate breach of the acceptable use policy. Material depicting the sexual abuse of children ends a term immediately and is reported; there is no deadline and no discussion.

You may terminate at any time by not renewing. There is nothing to cancel and nobody to ask.

## 10. Availability

We commit to 99.9% availability per machine per calendar month on network and power. What counts, how it is measured, what you get back and what is excluded are set out in the [service level agreement](https://gpuserver.io/legal/sla), which forms part of these terms.

Remedies under the SLA are an extension of your term. **They are the sole remedy for unavailability** — there is no account balance here to credit, and no cash compensation.

## 11. Liability

We provide the machine, the network and the power, and we are liable for failing to provide them, up to the amount you paid us for the term in which the failure occurred.

We are not liable for loss of data, loss of profit, loss of business, or any indirect or consequential loss. Concretely: if a disk fails and you had no backup, we replace the disk — we cannot replace the data and we do not accept liability for it. That is why clause 7 asks you to keep your own backups and why we say plainly that we take none.

Nothing here limits liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be limited.

## 12. Changes to these terms

We may change these terms. If a change materially reduces what you get, we will tell you on the contact handle we have for you at least 30 days before it takes effect, and it will not apply to a term you have already paid for.

Every version carries a number and a date at the top of this page. A change made without changing those is a mistake, and we want to hear about it.

## 13. Law and disputes

These terms are governed by the law of the jurisdiction in which we are established, and disputes are subject to the courts of that jurisdiction. Nothing here removes a consumer protection you have under the law of the country you live in.

Before either of us goes near a court: write to us. Nearly everything we have ever been in dispute about was a misunderstanding that one paragraph fixed, and we would much rather spend the afternoon on that.
